    The M&A Accounting Diligence and Integration Manager is responsible for overseeing all phases of an M&A deal cycle from preliminary analysis of a target company and management meetings to post-closing valuation and integration. In addition, the manager assists with the performance of the annual goodwill fair value analysis to support the purchase price of closed deals. The role will work closely with Business Unit VPs / GMs and Corporate Development to ensure that business and financial risks and opportunities found during diligence are addressed during integration. The role aligns with UL’s acquisition strategy to grow into new markets and industries.



    • Responsible for financial and accounting diligence on target companies for merger and acquisition deals supporting the business units and Corporate Development
    • Provide BUs and Corporate Development insight into business drivers, strategies, financial performance and trends, cash flow, and working capital requirements of target company
    • Build relationships with the management teams of target companies to facilitate a successful transaction and subsequent integration
    • Provide insight to BU Finance and Corporate Development of impact of diligence findings on the valuation model
    • Present diligence findings and recommendations to Core team members to support final decision on acquisitions
    • Partner with BU Finance and Corporate Development to negotiate purchase agreement terms with target company regarding finance and accounting issues found during diligence


    • Develop accounting, finance, and shared services integration plans for acquired companies by working directly with BU Finance, Global Accounting, Shared Services and IT
    • Provide notification to impacted parties to obtain feedback for integration process and implement suggestions
    • Execute integration plans in a timely manner to ensure smooth process for acquired company and UL
    • Develop and track key financial metrics as part of tracking integration progress


    • Complete purchase accounting for all closed transactions including valuation of intangible assets and closing net working capital
    • Assist the annual goodwill impairment analysis for UL reporting units in support of the external audit
    • Collaborate with Corporate FP&A and BU Finance leads on key financial LRP metrics that impact valuation
    • Assist with legal entity optimization post acquisition


    • A university degree in Accounting or a related discipline
    • A minimum of 7 years of related experience, including at least 3 years of Transaction Services with numerous deal experience in various industries (due diligence)
    • Experience in doing due diligence involving multi-national companies
    • Technical knowledge of US GAAP and the application to M&A transactions and business combinations
    • Experience communicating business drivers, strategies, and financial results / forecasts with executives, CFOs, and controllers
    • Certified Public Accountant
