    Position can be located in Franklin, TN, Princeton, NJ, or Northbrook, IL.

     

    The Software & Technology Counsel provides software licensing, technology, and data privacy and security legal support to various UL divisions and corporate functions.  Acts as a trusted legal advisor and provides legal counseling and advice on matters of significant legal impact to the company.

    Responsibilities

    • Reviews, drafts and negotiates inbound and outbound software license, SaaS and other cloud-based services agreements, reseller agreements, and data acquisition, use and distribution agreements.
    • Develops terms and conditions for sales and license agreements with a particular focus on SaaS and related professional services terms such as service level agreements, intellectual property, technical support and acceptance terms.
    • Reviews and negotiates technology vendor agreements including SaaS, data center, cloud and web service agreements to ensure UL is receiving state-of-the art service at the appropriate levels while minimizing risk.
    • Reviews and negotiates data privacy and security agreements, including EU model clause data transfer agreements, GDPR agreements/amendments, and data security terms with both UL customers and vendors.
    • Researches, analyzes and advises on technology, data security & privacy legal issues affecting UL’s divisions and corporate functions, in coordination with UL Legal and UL’s Data Privacy Director.
    • Provides day-to-day legal support and advice on various issues arising from UL’s software businesses.
    • Collaborates with product development teams to ensure that new introductions or versions of products and services comply with applicable data privacy and security requirements (legal, contractual or otherwise).
    • Performs other duties as directed.

    Qualifications

    • J.D. and state bar admission
    • A minimum of five (5) years of experience drafting and negotiating technology contracts, with a focus on software licensing and associated professional services terms, including service level agreements, intellectual property, technical support and acceptance terms
    • Experience reviewing and negotiating data privacy and security agreements is preferred
    • Knowledge of global privacy and data protection laws and regulations, including the EU General Data Protection Regulation is a plus
    • Experience with FDA regulations is a plus
    • International business experience strongly preferred
    • A mix of top law firm and in-house experience preferred
    • Willingness to travel occasionally
