What you’ll learn & achieve:

We are looking for a practical, experienced, friendly, and well-rounded Senior Legal Counsel to serve as the primary legal partner responsible for supporting transactions for multiple business groups within UL Solutions including: (i) various software-as-a-service offerings, (ii) automotive and new mobility consulting services, and (iii) information technology global procurement.

 

You will report to the Associate General Counsel, E&A and Digital Center of Excellence, in Northbrook, Illinois.  However, we are flexible as to which UL Solutions office you work from, and we will also consider fully remote candidates. 

 

Your job responsibilities include will include:

  • Reviewing, drafting and negotiating UL Solutions software licenses, SaaS agreements, and consulting services agreements in support of the UL Solutions sales teams. 
  • Developing template terms and conditions for sales and license agreements, API agreements, reseller agreements, and collaboration agreements, with a particular focus on SaaS and other cloud-based applications.
  • Collaborating with product development teams to ensure that new introductions or versions of products and services comply with applicable legal requirements.
  • Conducting periodic and as-needed business audits and risk assessments to assess corporate risks and legal compliance issues.
  • Reviewing and negotiating supplier/vendor information technology agreements, including software licenses, consulting services, and cloud and web service agreements to ensure UL Solutions is receiving state-of-the art service at the appropriate levels while minimizing risk.
  • Consulting and coordinating with other UL Solutions attorneys, as well as external counsel.
  • Maintaining current knowledge of applicable global, federal and state data protection laws and standards and monitor advancements in information privacy technologies to ensure organizational adaptation and compliance.

What makes you a great fit:

  • BA/BS and JD degrees and state bar admission.
  • A minimum of five (5) years of experience with a law firm providing services for technology clients, or relevant in-house experience with companies in the technology industry, or both.
  • Extensive experience in technology contracts, with a focus on cloud-based services and software licensing agreements, as well as information security agreements required.
  • Experience with data protection and data security agreements.
  • Experience supporting senior business leaders.
  • Familiarity with the automotive (or new mobility) industry is a plus.
  • You have experience working with minimal supervision, with the ability to multi-task, assess business and legal risk in a focused and efficient manner, and prioritize workload efficiently and effectively.
  • Ability to write clearly and prepare professional communications.
  • Excellent interpersonal and communication skills. 
  • Good sense of humor.
