What you’ll learn & achieve:

The Associate General Counsel will:

  • Lead the legal department center of excellence for matters pertaining to digital strategy, technology transactions, software, information security, data privacy and related areas.
  • Maintain current knowledge of applicable global, federal and state privacy laws and standards and monitor advancements in information privacy technologies to ensure organizational adaptation and compliance.
  • Review and negotiate wide variety of professional services, technology development, software license, SaaS and other cloud-based services, data acquisition, use and distribution, content, and other IP-related agreements.
  • Review and negotiate data privacy and information security agreements, including EU model clause data transfer agreements, GDPR agreements/amendments, and data security terms with both UL customers and vendors.
  • Develop and improve the company’s contract templates, and optimize the efficiency of the company’s processes and workflows for reviewing and approving a variety of contracts relating to the areas identified above.
  • Collaborate with the business to develop and update risk profiles for the company’s proposed and existing offerings, acquisitions, and strategic ventures in the areas identified above.
  • Perform other legal duties as directed. 

Business Partner:

  • Provide primary legal support for Enterprise & Advisory business segment, as well as digital, IT and security functions.
  • Serve as legal department co-lead for Americas region and liaison for Americas region head.
  • Collaborate cross-functionally with business segments, geographies and functions on issues relating to data privacy, information security, software and technology.
  • Demonstrate fluency in the Company’s businesses and strategy.
  • Be a valued business partner to internal clients. 

Management:

  • Collaborate with colleagues to shape and improve legal department, corporate development and other business processes to drive quality, collaboration and efficiency.
  • Develop and administer effective legal training and practical guidelines to business partners in relevant areas.
  • Manage external counsel, as necessary, in a cost-effective manner.
  • Organize and lead practice group meetings.
  • Report out on key topics on behalf of practice group at Law Department meetings.
  • Manage and develop junior attorneys and paralegals.
  • Develop practice group goals and initiatives in collaboration with Chief Legal Officer and/or Deputy General Counsel.

 

What makes you a great fit:

  • Juris Doctorate and U.S. Bar membership in good standing
  • A minimum of ten (10) years of legal experience with a focus on software licensing, technology transactions, data privacy and information security
  • In-depth knowledge of global privacy and data protection laws and regulations, including the EU General Data Protection Regulation
  • International business experience strongly preferred
  • A mix of top law firm and in-house experience preferred
