    The UL law department seeks, a highly organized, detail-oriented paralegal, with excellent communication and interpersonal skills. The paralegal will frequently interact with internal and external counsel, executive management, tax, treasury, vendors, government employees, business unit leaders, staff and colleagues in approximately 40 countries. Under the supervision of an attorney and paralegal manager, the paralegal will support internal and external counsel, with a broad range of foreign and domestic corporate governance matters, entity formations, divestitures, withdrawals, consolidations and liquidations, maintenance of hard copy and electronic corporate minute books, commercial transactions, contracts, inter-company agreements, non-disclosure agreements, mergers and acquisition, immigration/visa applications, and special projects as needed.


    Create and maintain minute books for foreign and domestic entities. Actively monitor and update hCue, UL’s electronic entity management software to ensure real time information.

    • Draft minutes, consents, resolutions, powers of attorney, certificates, corporate agreements, non-disclosure agreements, internal memos to executives, executive summaries, letters to international government agencies and officials, and other correspondence.
    • Prepare spreadsheets, organizational charts, timelines, project management tracking templates, and proposals. File, copy, and scan documents. Prepare packages for overnight delivery.
    • Monitor domestic and international filing and compliance requirements. Meet filing deadlines
    • Prepare, review, verify and coordinate signatures for directors and officers in multiple countries. Notarize, obtain apostilles and submit documents for legalization.
    • Assist business units and other operating areas of the organizations with due diligence, transactions, audits, integration and implementation of policies and procedures.
    • Review legal invoices for itemized charges and accuracy.
    • Follow-up on delegated assignments; knowing when to act and when to refer matters to the supervising attorney and or paralegal manager.
    • Continue professional development by participating in seminars, attending company sponsored courses, reading professional publications, maintaining personal networks, and participating in professional organizations.
    • Enhance the reputation of the paralegal position, department and organization by accepting responsibility, taking ownership of assignments, exploring opportunities to add value and demonstrating integrity, respect and professionalism.
    • Skills/Qualifications:

    Paralegal Certificate from ABA accredited program Minimum, 5 years’ experience at a mid-size/large law firm or an internal Corporate Legal Department. Computer skills: Microsoft Office Suite 2016, Adobe, hCue entity management software and other related software as appropriate.


    • Bachelor’s degree or paralegal certificate with 5+ years of corporate paralegal experience at a law firm or in-house, including domestic and international corporate maintenance and governance, mergers & acquisitions, and hCue entity management software.
    • Strong verbal and written communication skills in addition to providing high levels of analysis and problem solving. Ability to organize and self-motivate to achieve results and track performance so that problems are detected early or prevented entirely.  Must be pro-active in identifying, addressing, and communication issues and managing deadlines with attorneys.  Must be able to work independently and within a team environment.
